Step 1: Check that your LLC name is available

Step 2: Choose a registered agent

You may serve as your own registered agent if you are an individual with an actual street address or rural route box in Nevada. You must provide a certificate of acceptance signed by the agent. Anyone serving as agent for 10 or more entities must register as a commercial registered agent.

Step 3: File your Articles of Organization (with Initial List of Managers or Managing Members and State Business License)

File the form online at https://www.nvsilverflume.gov/ for a filing fee of $75. You must also pay the fee for the Initial list of managers or managing members ($150) and, unless exempt under NRS 76.020, the State business license ($200). The initial list is due at the time the articles are filed, unless an alternative due date is allowed by the Secretary of State. The state business license is obtained when the initial list is filed.

Step 4: Create an operating agreement

Create an operating agreement to cover ownership, roles, voting, and what happens if a member leaves.

Step 5: Get your EIN from the IRS

Get your Employer Identification Number from the IRS for free at https://www.irs.gov/ein.

Step 6: Keep your LLC in good standing

File an Annual List of Managers or Managing Members on or before the last day of the month in which the anniversary date of organization occurs. The fee for the annual list is $150, plus, unless exempt under NRS 76.020, the state business license renewal fee of $200 submitted at the same time. Nevada's Commerce Tax applies only to business entities whose Nevada gross revenue exceeds $4,000,000 in a taxable year.
